Interpretation and Definitions
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
For the purposes of these general terms and conditions:
”Material” means Our visual interfaces, graphics, design, compilation, information and text, data, computer code (including source code or object code), software, domain names and all other elements provided by Thweis on this Website.
”Financial Information” means any information which is provided on this Website and via the Service in relation to the financial markets, including, but not limited to, quotes, ticker symbols, company names, fundamental data, earnings/dividend or other reporting dates, charts with or without annotations, fundamental analyses, technical analysis, or any other analysis, opinions, prices, market comments, educational article or educational social media posts as well as automated data calculated from the Users portfolios, including, but not limited to, shares, stop loss price, position size.
”You” means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable (also referred to as either " Customer", "You", "Yours", "Buyer", "User", “Consumer” in this Agreement).
“Account” means a unique account created for You to access our Service or parts of our Service. There are free account types and account types which require a paid subscription.
“Thweis” means the company providing the Service and/or its subsiddiaries, affiliates, officers and employees. (also referred to as either "Thweis UG (haftungsbeschränkt)", "We", "Us", "Our", “Tradealyze”, “Seller” in this Agreement)
“Content” refers to User content such as reviews, photos, video or audio (including sound or voice recordings and musical recordings embodied in the video or audio), images, folders, data, social media posts and other posts and any other information and works of authorship or other works that can be posted, uploaded, linked to or otherwise made available by You on this Website.
“Findata” refers to the trading and investment-related data that the user enters and logs in the SaaS, including but not limited to portfolios, setups, transactions, trades, fees, inflows/outflows or base currency changes.
“Feedback” means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of Our Service.
“Service” refers to the software as a service (also referred to as "SaaS”) or cloud solution, digital products or other digital electronic services which Thweis provides on this Website. The Service includes free plans and paid subscription plans for SaaS, blog articles and other resources which are online available on this Website.
“Beta Products” refers to product plans, products in development, beta products and beta services, testing activities of new and unreleased features and associated Materials, data, or information and other resources which are online available on this Website for testing purposes.
“Confidential Information” refers to other information that is marked as confidential, or other information that Thweis considers confidential and that would, under the circumstances, appear to a reasonable person to be confidential. Confidential Information also includes all notes, analyses, compilations, studies, interpretations, feedback, photos, videos, audio clips, audio visuals, other media or documents prepared by the Tester or its representatives that contain, reflect, or are based in whole or in part on Confidential Information.
”Tester” means the individual accessing or using Beta Products and the receiver of Confidential Information by participating in testing activities
“Thweis.com” refers to Our other website, accessible from https://www.thweis.com
“SLA” refers to Our service level agreement for this Website, accessible from www.tradealyze.com/service-level-agreement
“Privacy Policy” refers to Our privacy policy for this Website, accessible from www.tradealyze.com/privacy-policy

“Terms” mean these general terms and conditions, the Legal Disclaimers and the Service Level Agreement that form the entire agreement between You and Thweis regarding the use of the Service.
“Third-party Service” means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
§1 Acknowledgment and general information
Our Terms and Conditions, including Our Legal Disclaimers and Service Level Agreement (hereinafter collectively referred to as the "Terms"), apply to all visitors to this Webite and govern the use of the Service and the entire agreement that exists between You and Thweis in the respective version at the time of use/visit.
Your access to the Website and use of the Service also requires that you acknowledge receipt of Thweis' Privacy Policy and that you set your Cookie Preferences.
Please read our documents carefully before continue browsing the Website or using the Service.
By accepting electronically (for example by clicking a labeled checkbox), installing, accessing or using the Service, browsing the Website or interacting with the Website in any other way, You agree to be bound by these Terms. If You disagree with any part of these Terms then You may not access the Service.
Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service or interact with the Website and tells You about Your privacy rights and how the law protects You. Our Legal Disclaimers provide detailed information regarding the liability and/or risks associated with our Service including disclaimers of warranties and limitations of liability.
The Service offered by Thweis is intended exclusively for consumers as defined by §13 German Civil Code (Bürgerliches Gesetzbuch BGB). You, the Customer assure by your truthful statements that you are not an entrepreneur or business in the context of §14 BGB. You also assure that you are 18 years of age or older. Thweis does not allow individuals under the age of 18 to use the Service.
These Terms apply only to the interaction and use of this Website, or orders and purchases made through this Website, accessible from: https://www.tradealyze.com.
Deviating terms and conditions of the User are rejected. By being silent or not objecting, Thweis does not submit to any conditions of the User.
The official contract language is German.
§2 Ownership, proprietary rights and Intellectual property
As long as You comply with these Terms, We give You a limited, nonexclusive, nontransferable, revocable license to access the Services via this Website.
This Service is owned and operated by Thweis. All Materials included in the Service are the property of Thweis or its third-party licensors and are protected by intellectual property and other laws. The customer is only allowed to use these copyrighted Materials for private, non-commercial purposes.
Unauthorized duplication of such Material as well as passing on to third parties is not permitted and will be prosecuted by Thweis with legal actions. There are no implied licenses in these Terms and Thweis reserves all rights to the Materials not granted expressly in these Terms.
§2.1 Relaxation of use for the financial community
In the context of the financial community, screenshots with portfolio relevant data (i.e, charts, ratios, relative performance) are permitted if they are not of a harmful nature to Thweis. Such screenshots may include some Material due to the nature of what a screenshot is. This permission refers to privately operated blogs, publications of articles on financial platforms on the Internet and posts on social media channels. A reference to Tradealyze.com is encouraged.
§3 Duties of the customer and prohibited use
The User must comply with the following conditions:
(i) You agree not to misuse the Website or Service or help anyone else to do so. For example, you must not even try to do any of the following in connection with the Website and Service:
- interfere with or disrupt any of our servers or third party servers, other user’s or other party’s enjoyment, host, or network, for example by sending a virus/worm/Trojan horse or any items of a destructive nature, overloading, flooding, spamming, or mail-bombing any part of the Website or Service in any manner.
- exceed or circumvent, or try to exceed or circumvent, limitations on the Website or Service, including on any API calls, or otherwise use the Website and Service in a manner that violates any Tradealyze documentation or User manual.
- gain unauthorized access to the Website or Service, other Accounts, computer systems, or networks connected to any Thweis servers or third-party servers or to the Website or Service, through hacking, password mining, or any other means.
- obtain or attempt to obtain any materials or information through any means not intentionally made available through the Website or Service.
- use this Website or Service in any way that violates these Terms or any applicable local, international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the USA or other countries).
- reverse engineer or attempt to reverse engineer, or assisst someone in reverse engineering any of Thweis algorithms and software procedures.
- send unsolicited communications, promitions or advertisements, or spam.
- unlawfully pass on or disclose third-party data.
- share Your Account with others or create multiple Accounts.
- promote or advertise products or services other than Your own without appropriate authorization.
In the case of a violation, Thweis may delete your Account with any consequences as explained in §4.9 „Plan cancellation, termination and renewal“, and/or take legal actions against You.
(ii) You are obligated to provide truthful information about your person and to double-check this information for correctness and completeness after confirmation of the order or creating an Account on the Website. If You notice an error, You are obliged to inform Thweis immediately.
Regardless of other legal regulations, We may delete Your Account on Our Website and Service immediately if false information has been provided during registration, or in any other case of misuse and prohibited use.
(iii) You are responsible for safeguarding the password or tokkens that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service. You agree not to disclose Your password or tokken to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.
(iv)You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
(v) You agree to maintain a complete and accurate copy of any Content and Findata in a location independent of the Service. For this You may choose to export Your open positions and trading history for all of Your portfolios in regular intervals. You must choose backup intervals that are appropriate in terms of how many actions are performed in a given portfolio within a given time period.
(vi) You are obliged to carry out a rigorous and thorough plausibility check before using the non-binding trading and investment parameters proposed by the Service in general and by the algorithm in particular, including but not limited to stop-loss price, position size, maximum trade risk, in any real financial market operation.
(vii) You agree to read the documentation carefully and to contact Us by e-mail (dbb8b4b5afbab8af9bafb3acbeb2a8f5b8b4b6) if You suspect or are in any way unclear about any function of the Service. In case of doubt, you are obliged to request consultation from Thweis by e-mail before using the Service.
(viii) You affirm to have read and to have accepted the known-errors at the time of entering into the contract according to §20 List of known errors
§4 Subject of the Service
Thweis provides all Services exclusively based on these Terms. Deviations from these Terms are only effective if they are confirmed in textform by Us.
The features and contents of the Service can be viewed in the respective product details before the purchase order.
Information, including but not limited to typical service uptime and availability, can be found in our separate Service Level Agreement (SLA) prior to placing an order.
The presentation of the Service in our online store at https://www.tradealyze.com/plans does not constitute a legally binding contract offer by us, but is merely a non-binding invitation to You to purchase them.
Thweis sells exclusively in its own name and on its own account.
Any Account on this Website is activated only after the confirmation link sent in the e-mail has been clicked (so-called "double opt-in" registration).
This is how we back up Our marketing statements and claims:
- better Performance: The term does not refer to monetary results (such as the increase in personal wealth or the growth and profits of a User's real trading account), but to enhanced statistical metrics derived from individual Findata (logged trades and general logged data) for a simulated portfolio maintained exclusively on this Website.
- intuitive and easy-to-use: The Website and Service has a modern UI which follows general UI guidelines including, but not limited to, color, button and font size, color contrast, dark mode, icons. There are tooltips that explain most of the functions and features, and the User can always refer to Our comprehensive documentation.
- mobile friendly: The Website is fully responsive and optimized for most common screen sizes ranging from smart phones, tablet, PC screens and even wide-screens.
- Available always and everywhere: We guarantee an uptime and availability of the Website and the Service of 95% in accordance with our SLA. Access to the Website and the Service requires only an internet connection and a suitable device with browsing functionality. The loading speed of the Website and the Service for slower internet connections, e.g. 3G, is optimized with the aim of achieving a performance that meets the requirements of Google Web Vitals for such connection speeds.
- export to .csv The User can export a portfolio to a .csv file. This file includes the currently open positions and closed positions including many metrics. This file can easily be imported into common spreadsheet software.
- Complete portfolio analysis: The User can evaluate the portfolio based on common performance metrics (industry standard) including but not limited to Sharpe-ratio, risk/reward ratio, underwater graph, equity performance (daily, weekly, monthly, quarterly, annual), relative performance vs. common indices, pain-to-gain ratio, true time weighted return.
- Advanced charting capabilities: The User is provided with interactive charts with various features. One such feature is the ability to plan a trade on a chart by setting the stop loss directly on the chart.
- Be in sync with your broker: The User can mimic an existing real trading account with limited but sufficient accuracy without an actual broker connection. Accuracy can be maintained by the User via performing a frequent manual equity correction.
- Transparent methods and no black-box: The Service uses procedures which are outlined in the documentation and which are based on common industry standards as well as common statistical analysis of data. Our intellectual property is mostly hidden in our software implementation of such techniques.
- Psychological aid: The Service has techniques that help the User to better deal with the typical psychological problems and pitfalls of the financial markets that are often mentioned in the financial literature. One such psychological problem is, for example, monetary bias, where traders and investors do not act objectively as soon as they relate a sum of money to its real purchasing power. Our Zen mode, for example, allows Users to hide absolute amounts of money whenever and wherever possible.
§4.1 The Scope of the Service
The Service provided on this Website consists of the publication of blog articles on money and risk management for investors and traders with the intend to improve their methods and provide information. The Service also includes a software as a service (SaaS) platform which provides the User with a mobile friendly web application. The nature of this SaaS is to help the User follow their self-imposed portfolio and risk management rules, as well as help the User improve such rules via distinct tracking, planning and analyzing functionalities.
For this purpose the SaaS can approximate and simulate a real trading account with limited accuarcy depending on, but not limited to, the quality of User input. The SaaS does not connect to a real trading account but instead relies on the Logged-Data provided by the User. The SaaS calculates what would likely happen in a real trading account based on this User input and Thweis' understanding of such calculations. Therefore the nature of the SaaS does not allow the calculated output data from such a simulated portfolio to be more than a non-binding remark or comment. The calculated data is an estimation and shall not be seen as a recommendation or even a suggestion to use it for any real market transaction.
Thweis is fully aware that a User could create a portfolio with the intend to mimic a real trading account. For this reason, it is the User's duty to understand and comply with the following points:(i) Any portfolio created through the Service will have a limited accuracy compared with any real trading account it is suppossed to mimic even if the User makes every effort to log transactions, fees and inflows and outflows as accurate as possible, including but not limited to, using as many decimal places as possible.
(ii) Every broker handles their internal calculation differently. The SaaS also follows it's own internal logic which is the intellectual property of Thweis. Therefore the calculations are not identical and can lead to different outcomes.
(iii) The SaaS relies on third-party data for real time and delayed quotes but cannot gurantee that even the real-time data is exactly the same as the real-time data used by the broker of the User.
(iv) The SaaS conducts a background calculation of the equity for a given portfolio. Due to the limitations regarding accuracy mentioned above, this calculated equity is only an estimation and will deviate from the equity of the Users real trading account it tries to mimic, over time.
(v) The SaaS allows the user to perform a so-called equity correction, where the User can replace the calculated equity with the equity of the real trading account it is supposed to mimic.
For the purpose of tracking, the User can create a fixed amount of portfolios depending on the Account type and fill them with Logged Data. This Logged Data is then visualized and common performance metrics are calculated and presented to the User.
For the planning functionality, the User can provide further information regarding the individual risk allowance which include but are not limited to, maximum percentage position size, number of shares, maximum risk per market operation, frequency of trading, stop loss (herinafter referred to as "Portfolio Settings"). These Portfolio Settings are used to help the User plan a hypothetical future market operation. The Service does this by calculating the shares required for a hypothetical position based on Logged Data and Portfolio Settings in a way that the Portfolio Settings are not violated. This planning functionality of the Service is a pure quality of life feature as the User could also perform similar calculations by hand with a calculator or the help of any common spreadsheet software.
The analyzing feature of the Service evaluates the Logged Data and provides the User with non-binding suggestions to alter the Portfolio Settings with the goal to improve the various portfolio performance metrics based on statistical methods as described in the documentation (This procedure is herinafter referred to as "Algo"). The User has the option to apply this Algo automatically for each portfolio. In the base configuration the automatic Algo is switched off.
Under no circumstances does the Service provide the User with any financial advice or even suggestions regarding any specific financial instruments and is therefore not a substitute for professional investment advice.
§4.2 Risk warning for services related to the financial markets
The Service provided by Thweis on this Website does not constitute financial advice, guidance or recommendation to make or not to make any transaction, investment or decision in the context of financial markets. The Service provided is impersonal, non-binding and not tailored to any particular financial instrument. For this reason, we encourage You to seek professional financial advice before making any investment decision. Results are not guaranteed and may vary from person to person. Trading and investing involves inherent risks, including the loss of Your Investment capital or even beyond that. Past market performance is not indicative of future results. Any investment is solely at Your own risk, you assume full responsibility.

§4.3 Adjustment/Modification of the Service
The Service provided on this Website may be changed, extended or restricted without prior notice.
§4.4 Cessation of operation
Should the operation of Our Service on this Website be discontinued, any payments made will be refunded pro rata temporis. No claims can be asserted beyond this.
§4.5 System requirements and availability
Certain system requirements on Your part are necessary for the use of the Service on this Website. Before you create an Account on this Website, You must ensure that You can sufficiently use the offered functions of the Service in Your interest. In addition, these system requirements may change at any time due to technical adjustments and enhancements. By using standardized components and technologies, an attempt is made to achieve the greatest possible compatibility with the different systems of the Users. However, the success of these efforts cannot be guaranteed due to the technical complexity.

§4.6 Data and calculation errors
Due to the high complexity of the calculations and volume of the data provided, it is not possible for Thweis to guarantee that all data and calculation results are error-free. However, we make every effort to reduce errors to a minimum. Measures are taken for this purpose. Among others these are:
- Monetary calculations with a fully automated checksum test
- Providing you with alerts if any calculated position size or trade risk exceeds (i) levels You provided in your Portfolio Settings (ii) levels based on a common sense for risk.
§4.7 Conclusion of contract

The PRO Account is a paid subscription based plan. For the purchase of this paid Service on this Website, You must confirm during the purchase process that You are a consumer and not a business within the context of §13 BGB (German Civil Code). During the purchase process, but before the check-out, You have to accept these Terms, the Legal Disclaimers, the Privacy Policy and the Service Level Agreement by clicking the respective checkboxes. The availabe subscription plans or digital products can be selected in the form of toggle switches or checkboxes. During the process, You can select the subscription plan you wish to pay for (Currently only the PRO plan has a fee). You then submit your binding offer by clicking "Buy Subscription Now" or "Buy Now". You will then be securely redirected to the respective payment service provider in accordance with the payment method you selected. At the website of the payment service provider, the actual payment to the business account of Thweis will be made and confirmed.
The acceptance of the purchase and thus the beginning of the contract between Thweis and You is made by Thweis by (i) sending an explicit declaration of acceptance containing of the order including a link to these Terms to You via e-mail no later than 3 working days after receiving the order; (ii) by sending the ordered goods; (iii) by activating the corresponding secured member application area where you have direct access to the ordered Service.
§4.8 Free version of our Service
The BASIC Account is not a paid plan. It is completely free of charge and all you must provide is your e-mail and a password. You can log-in with your Google account as well. The Basic account is fully functional as a portfolio and money management tool but lacks some additional features of the paid subscription plans. You can upgrade your free BASIC Account in two ways (i) by upgrading to a subscription based PRO plan in your profile settings and (ii) by providing a valid Thweis.com tokken as described in $4.11 Subscriptions made via https://www.thweis.com.
§4.9 Plan cancellation, termination and renewal
You can cancel your paid subscriptions, these Terms or any additional terms and/or delete your Account at any given time through your account page. We do not offer refunds except under very limited circumstances outlined in our Legal Disclaimers. To avoid a renewal for another month you have to cancel no later than 1 day before the expiration of the current subscription period. This cancellation can be done in the customer's account management at https://www.Tradealyze.com/ by clicking on "Cancel Subscription" or via a written notification to our e-mail adress: dbb8b4b5afbab8af9bafb3acbeb2a8f5b8b4b6. Once cancelled your access to the Service remains active until the current subscription period expires. After the expiration of the subscription period, the subscription will be automatically renewed for a full month if it has not been cancelled beforehand. You will receive a notification of the automatic renewal not later than 5 days before the expiration of the current subscription period.
When you delete your Account, any active subscription at that time will automatically be cancelled at that moment and and your our access to our Service will be denied. Furthermore all Your Content, settings and information on our serves will be permanentely deleted in accordance with our Privacy Policy and these Terms. If youn would like to cancel your paid subscription without deleting your account, see §4.10 „Plan upgrades and downgrades“ for further information.
In addition to the cancellation by You, there is the possibility that We terminate these Terms or any additional terms, suspend or deny You access to our Service and delete Your Account at any given time and without notice for good cause according to § 314 BGB (German Civil Code), if the legal requirements are met. One such reason would be if your actions and Your way of interacting with our Service violates these Terms or harms the experience of other Users and which is not reasonable for Us or other Users of our Service.
Thweis reserves the right to increase the subscription prices, the increase will be announced in time beforehand via e-mail. In the event of a price increase of more than 10 percent in one event, the subscriber shall have a special right of contract termination with effect at the end of the last month before the price increase takes effect. The price increase shall only apply after the end of the current contract/subscription period.
§4.10 Plan upgrades and downgrades
When the customers cancels a PRO or Thweis-LINK account subscription, the account will automatically be downgraded from PRO to BASIC once the contract period ends. If the Account does not fulfill the requirements of the BASIC plan upon completion of the downgrade, it will be flagged. Once flagged, You will not be able enter new positions, add, or cut existing positions or modify the positions or settings of any of the portfolios in any way. Tradealyze will notify You of the reason for the flagged status and request specific changes to be made. Once the conflicts are resolved the flagged status will be removed and You can use your Basic account.
A common reason for a violation when downgrading from PRO to BASIC account type is the number of portfolios. In such a case the user must decide which portfolio to delete. A portfolio can be exported before deletion so that it can be imported again in the future.
When an account is downgraded from PRO to BASIC, we will delete all the additional PRO Account information and only keep Your e-mail address and password to comply with the requirements of Our BASIC Account type. We are obliged to save Your invoices for 10 years to comply with German fiscal and commercial law ( Abgabenordnung AO and “Handelsgesetztbuch HGB).
If you are upgrading from a free plan to a paid subscription based plan, we will charge you immediately via the selected payment method and your billing cycle starts on the day of the upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
§4.11 Subscriptions made via https://www.thweis.com
Tradealyze Users who have concluded a contract via our other website thweis.com receive access to all contents of the PRO membership on Tradealyze.com as well as additional thweis exclusive content by providing a unique access tokken which is available in their secure member area at thweis.com. In no case do paying Customers of thweis.com need a separate paid membership on this Website, a free BASIC Account is sufficient. Once you input your tokken in the account settings of your BASIC Account on this Website you will immediately get access to the additional features. For those Users, the Terms on Thweis.com apply in addition to the Terms on this Website. As soon as the Thweis.com contract of these users is terminated, the access token automatically expires at the end of the active subscription period and the Account type on this Website is downgraded from Thweis-LINK to BASIC. This downgrade is handled the same as a downgrade from PRO to BASIC. The conditions of an account downgrade are explained in §4.10 Plan upgrades and downgrades.
§4.12 Storage of the contract text
You may view these Terms with any included general contractual provisions on the Website. Furthermore, You may print and/or save this document by using the usual functionalities of the browser (File -> "Save as"). All payments made can also be viewed and archived by You personally in the subscripton section of the user profile page.
Additional data of orders can be archived by waiting for the automatic order receipt confirmation, which is additionally sent to the respective deposited e-mail address after completion of an order. This confirmation contains all data of the order including the link to these Terms and links to other binding legal documents such as the Legal Disclaimers and our Privacy Policy.
§5 Transfer of risk
The legal regulations for the transfer of risk of the purchased item apply.
§6 Pricing and payments
All prices include the mandatory value added tax (VAT) of the respective country and, if applicable, state/province based on the data provided by the buyer during the purchase process. The base currency of the products offered on this Website is Euro ( € ) and is converted at the time of the order into Your respective country currency at the exchange rate valid on that day at the payment service provider. Shipping costs, installation, training and other additional services are not included in the price, unless otherwise agreed.
Additional services that are not included in the product description are charged separately.
§6.1 Payment methods, payment terms and invoicing
Thweis offers the following payment methods to the buyer through external payment service providers Paddle.com:

- Pay pal
In the event of a payment with Paddle, their terms and conditions apply: Paddle Terms of Use.
If a subscription is concluded by You, this is considered as a grant for direct debit mandate. The payment amount and the payment date depend on the subscription plan purchased by You. A detailed description of the respective subscription plans can be found in the online store https://www.tradealyze.com/plans
By accepting these Terms, You agree to exclusively electronic invoicing and electronic transmission of the invoice in accordance with § 14 para. 1 of the German Value Added Tax Act (UStG).
§6.2 Payment due date / default of payment
Unless otherwise specified, payments are due immediately without deduction. The payment period begins with the conclusion of the contract as explained in §4.7 Conclusion of contract. In all other respects, the statutory regulations according to BGB §268 apply.
§7 Delivery and delivery time
The dispatch or provision of the Service typically takes place immediately after receipt of the money on Our business account, but at the latest within 3 business days. Partial deliveries are permitted if this is reasonable for You.
§8 Retention of title
The ownership of the delivered products as part of the Service, remains the property of Thweis until the full payment of the purchase price. The license to use the software as a service as part of the Service is only granted to the customer upon full, unconditional payment of the purchase price.

§10.3 Limited license grant to Thweis
By adding Content to or via the Service, You grant Thweis a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, worldwide right and license to host, store, use, distribute, transfer, publicly display, publicly perform, communicate to the public, reproduce, modify for the purpose of formatting for display, create derivative works as authorized in these Terms, and distribute to Content, in whole or in part, in any media formats and through any media channels, in each instance whether now known or hereafter developed without resistrictions.
You also assign all rights, title and interest in any Feedback or ideas You provide Thweis. If for any reason such assignment is ineffective, You agree to grant Thweis a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction.
All bug or error reports, feedback, photos, videos, audio clips, audiovisuals, other media, comments, or ideas the Tester of Beta Products submits to Thweis about Confidential Information will be considered “Ideas”, and Thweis will have the right to use and disclose such Ideas to the same extent as other Ideas the Tester submits.
§11 Warranty
The statutory warranty rights apply to all contracts between Thweis and the buyer.
§12 Right of set-off
The customer shall only have the right to set-off if his/her claim put forward for set-off has been legally established or is undisputed.
§13 Governing Law & Jurisdiction
This agreement will be interpreted, construed, and enforced in all respects in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. All legal action of proceeding arising under or relating to this agreement shall be brought exclusively in courts located in the Federal Republic of Germany and the parties expressly consent to personal jurisdication and venue in those courts.
Excluded from this choice of law are the mandatory consumer protection provisions of the law of the country in which the Customer has his habitual residence.
§14 No third-party beneficiaries
You agree that, except as otherwise expressly provided in these Terms, no third party beneficiaries are involved in this agreement.
§15 Notices and announcements
Thweis may provide notices to You, including those regarding changes to these Terms, by email or by posting them in the secure members area of the website.
§16 Indirect Taxation Obligations and Guidelines
For Our Service on this Website the indirect taxation (Sales Tax or Value Added Tax or Use Tax) is based on the place of service principle (German: "Leistungsortprinzip"). This means that indirect taxes are raised by and remitted to the appropriate tax authority at the place where the Customer is located and where the Customer receives the Service.
To keep taxation efforts manageable for us, We reserve the right to provide Our Service only to the specific countries which we make available as billing countries during the purchase process. We also reserve the right to include and exclude countries from Our Service based on changing taxation rules and laws as we deem appropriate in terms of the individual effort for Us.
For Our Customer from within the European Union (EU) the One-Stop-Shop (OSS) procedure applies where We collect and remit the indirect tax (for EU: Value Added tax VAT) of the respective EU Member State. The indirect tax is included in the price of the Service and separately shown in the invoice.
For Our Customers from a third country outside the EU Our Service is a non-taxable service according to §3a Umsatzsteuergesetz UStG (German Value Added Tax Law). This means no tax is included in the price of the service and a tax of 0% is separately shown in the invoice unless we reach an economic threshold in that location. That economic threshold can be sales or transaction based and is highly individual. Some countries additionally require Us to register with the local tax authorities before reaching a economic threshold. Once the economic threshold for a specific country is reached We are obliged to remit indirect tax to the appropriate tax authority and as a result the indirect tax is included in the price of the service and separately shown in the invoice.
§16.1 Special note for customers from the United States of America (USA)
In the USA the economic threshold is referred to as economic nexus. This threshold is not standardized and differ from state to state. Once We establish an economic Nexus We are obliged to remit indirect tax to the appropriate tax authority. However the sales tax rate is highly individual and differs from state to state as well, in addition there are states who do not raise any sales tax on state level but could still raise sales tax on community level. Moreover, if we sell Our Service to Customers in states who do not raise sales tax or where we did not reach the economic nexus threshold, the Customers themselves could have a legal obligation to pay a use tax if the state has special notice and report laws in place. Use tax is a sales tax replacement on purchases made by a customer outside of their residence that have not been subject to tax in the state where the purchases were made.
§17 United States of America Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
§18 Severability and Waiver
§18.1 Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
§18.2 Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
§19 Modifications
We may revise these Terms from time to time to better reflect (i) changes to the law, (ii) new regulatory requirements, or (iii) improvements or enhancements made to this Website and Our Service.
If any update affects Your use of the Website and Service of your legal rights as a User of Our Service, we’ll notify You prior to the updates’s effective date by sending an email to the deposited email address associated with your Account or via an in-app or in-product notification. These updated Terms will be effective no less than 30 days from when we notify you for the first time.

§21 Restrictions of use
The offers that the User finds on this Website is expressly not directed at persons in countries that prohibit the presentation or calling up of the content posted therein. You are responsible for informing yourself about any restrictions before accessing the Website and Service and for expressly complying with them.
§22 Research and developement or testing activities in relation to Beta Products
- Thweis may disclose to the Tester in tangible or intangible form Beta Products and Confidential Information. Confidential Information does not include information that (i) was known to the Tester without restriction before receipt, as demonstrated by files in existence before receipt, of that information from Thweis, (ii) is publicly available through no fault of the Tester, (iii) becomes known to the Tester, rightfully and without restriction, from a source other than Thweis without breach of these Terms and otherwise not in violation of Thweis's rights, or (iv) is independently developed by the Tester without any use of Confidential Information, as demonstrated by files in existence at the time the Tester independently developed that information.
- The Tester may use Confidential Information only internally to evaluate the Beta Products in accordance with these Terms and other agreements the Tester has agreed to or will agree to as a condition to creating a Account or using any Thweis Services and any other requirements specified orally or in writing by Thweis. The Tester will not copy any Confidential Information. The Tester will notify Thweis immediately in writing, i.e., email, if the Tester becomes aware of any misuse or unauthorized disclosure of Confidential Information.
- Upon the termination of Thweis’s internal evaluation or within one (1) week of Thweis’s written request, the Tester will destroy all Confidential Information, delete or return any tangible Beta Products. This agreement’s provisions will survive as to all Confidential Information disclosed.
- This agreement doesn’t impose any obligation on Thweis to disclose any Confidential Information or grant the Tester any rights in Thweis intellectual property, except the limited right to use Confidential Information for the Purpose.
- Tester’s obligations in this agreement are necessary and reasonable in order to protect Thweis and its business. Due to the unique nature of Confidential Information, monetary damages would be inadequate to compensate Thweis for any breach by the Tester of this agreement. Accordingly, Recipient agrees that any breach or threatened breach may cause irreparable injury to Thweis and, in addition to any other remedies available at law, in equity, or otherwise, Thweis will be entitled to obtain injunctive relief against Tester’s threatened or continuing breach of this agreement.
- This agreement is not assignable or transferable by the Tester without the prior written consent of Thweis. These Terms represent the entire agreement between Thweis and the Tester on this topic, superseding any prior or contemporaneous agreements (provided that these Terms supplements, and does not supersede, any other Thweis Agreement), and any amendments must be in writing and executed by the parties. Failure to enforce any of provisions of this agreement will not constitute a waiver. If any provision is unenforceable, the other provisions will remain effective.
